KontextOS intends to work with one Strategic Development Partner: a company prepared to contribute directly to the platform's development and help bring it to market.
This page provides a general overview of the operational relationship we envision. It is not an offer, solicitation, term sheet, or commitment by either party. Any relationship would be subject to private discussions, due diligence, corporate approvals, and definitive agreements prepared with legal counsel.
One Strategic Development Partner
KontextOS may work with multiple resellers, implementation providers, and industry-specific partners, but it intends to appoint only one Strategic Development Partner.
That company would occupy a distinct role in the development and commercialization of the platform. The designation would not automatically grant permanent territorial exclusivity, ownership of customer relationships, unrestricted access to service opportunities, or control over KontextOS's relationships with other commercial partners.
Development Support
The partner would hire and fund a small, appropriately segregated clean team of developers to assist with agreed KontextOS development tasks.
The definitive technical agreement would specify matters such as:

Team size, qualifications, and responsibilities

Approved projects and development priorities

Deliverables, schedules, and acceptance criteria

Source-code, system, and data-access limitations

Security, privacy, and confidentiality requirements

Intellectual-property ownership and permitted use

Procedures for managing conflicts with the partner's other work
Access to KontextOS source code, systems, and confidential information would be limited to what the clean team needs for approved work. Access would not extend automatically to the partner's wider organization, affiliates, or other development teams.
Project Leadership
Ari Nuncio, founder and lead architect of KontextOS, would lead the development engagement. The definitive agreement would establish the nature, scope, duration, and compensation of that role.
The engagement would not necessarily have a required minimum term. If the leadership engagement ended, that change would not automatically terminate the parties' other agreements unless those agreements expressly provided otherwise.
Product and Commercial Collaboration
The Strategic Development Partner could expect a meaningful role in discussions concerning product development, market priorities, implementation strategy, and commercialization. KontextOS would nevertheless retain control of its core technology, product architecture, pricing, staffing, and ordinary business decisions unless the definitive agreements expressly stated otherwise.
The parties could also enter into a separate commercial agreement addressing matters such as:

Reseller responsibilities and commercial standards

Commissions or revenue sharing

Registration and temporary protection of active accounts

Industry-specific or geographic initiatives

Implementation and follow-on service opportunities

Co-marketing and joint market development

Performance requirements and renewal conditions
Any account, vertical-market, or geographic protection would be precisely defined, time-limited, and tied to measurable performance. Customers would remain free to choose their preferred service providers.
Intellectual Property and Confidentiality
The definitive agreements would protect KontextOS's technology, source code, customer information, product plans, and commercial relationships. They would specify ownership and permitted use of all work produced by the clean development team.
Because a prospective partner may belong to a larger corporate group, the agreements would also address competing development by the partner or its affiliates, disclosure of potential conflicts, and separation of KontextOS information from unrelated or competing work.
Information Sharing and Conflicts
The partner would receive the technical and commercial information reasonably required to perform its agreed responsibilities. Information sharing would be governed by confidentiality, security, need-to-know, and conflict-management requirements.
The partner would not automatically receive unrestricted access to customer or prospect identities, the confidential terms offered to other partners, or information unrelated to its responsibilities.
Separate but Coordinated Agreements
The complete relationship would likely be documented through several coordinated agreements or schedules covering:

Reseller and commercial rights

Confidentiality, security, and intellectual property

Any additional corporate arrangements negotiated privately by the parties
These obligations would be coordinated but legally distinct. A change in one part of the relationship would not automatically cancel the others unless the definitive agreements expressly said otherwise.
The Essential Understanding
The Strategic Development Partner could expect a privileged role in helping develop and commercialize KontextOS, appropriate participation in product and market discussions, and the opportunity to negotiate commercial advantages reflecting its contribution.
In return, KontextOS would expect a partner-funded clean development team, effective project support, careful protection of KontextOS intellectual property and confidential information, adherence to agreed commercial and technical standards, and active assistance in bringing the platform to market.
